Pennsylvania’s Bureau of Corporations and Charitable Organizations has started contacting businesses regarding its new annual report requirement. Effective January 1, 2025, entities formed or registered to do business in Pennsylvania are required to file an annual report with the Department of State. This new annual filing requirement replaces Pennsylvania’s former decennial filing requirement for entities.
The annual report should be filed online at file.dos.pa.gov and costs $7 to file for for-profit entities. There is no fee for non-profit entities. The deadline to file is based on the entity type and listed in the chart below.
Entity Type | Filing dates |
Corporations (business and nonprofit)/domestic and foreign | January 1 – June 30 |
Limited liability companies/domestic and foreign | January 1 – September 30 |
Limited partnerships, limited liability partnerships, business trusts, professional associations/domestic and foreign | January 1 – December 31 |
Starting in 2027, failure to file an annual report will result in an entity being administratively dissolved, terminated, or cancelled six months after the due date of the annual report, which would result in the entity’s name becoming publicly available to other entities.
